1. Anbieter
FLAI Studio — Geschäftsbezeichnung von Roman Sukhostavskyi (Einzelunternehmen)
c/o IP-Management #12007, Ludwig-Erhard-Str. 18, 20459 Hamburg, Deutschland
E-Mail: office@flaistudio.de

Terms for the Online Consultation — English
These terms apply to the paid 60-minute consultation that can be booked and paid for through this website. They do not apply to the free initial conversation or to project contracts.
1. Provider
FLAI Studio — trade name of Roman Sukhostavskyi (sole proprietorship)
c/o IP-Management #12007, Ludwig-Erhard-Str. 18, 20459 Hamburg, Germany
Email: office@flaistudio.de
2. Who this offer is addressed to
This offer is addressed exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (§ 14 BGB) — that is, to persons acting in the exercise of their commercial or self-employed professional activity when booking. The offer is not addressed to consumers.
By booking, the client confirms that they are acting as an entrepreneur. We do not accept bookings from consumers; a payment made by a consumer by mistake is refunded in full. No consumer contract is therefore concluded, and the provisions on the right of withdrawal for distance contracts with consumers (Sections 312g, 355 BGB) do not apply to this contract.
3. Service
The subject of the contract is a 60-minute consultation by video call or telephone on questions of automation, the use of AI and marketing in the client's business.
What is owed is the consulting service itself, not a particular outcome (a service contract under Section 611 BGB, not a contract for work).
The consultation is not legal, tax or financial advice and does not replace it. For legal, tax and financial questions, a professional licensed for that purpose must be consulted.
4. Price
The consultation costs 90 € net. Small business under Section 19 of the German VAT Act (§ 19 UStG) — no VAT is charged.
5. Payment
At the client's choice, payment is made online through the payment service provider Stripe before the appointment, or by invoice with a payment term of 14 days from the invoice date.
The processing of personal data during payment is described in our privacy policy.
6. Appointment, rescheduling and no-show
The contract is concluded when we confirm the appointment by e-mail; until then the request is non-binding. If no appointment comes about, we refund any online payment already made.
After receiving the request, we propose two to three appointment slots by email, within 24 hours on business days.
An agreed appointment can be rescheduled free of charge up to 24 hours before it starts; an email is sufficient and we will propose new slots. The same applies if we have to reschedule.
If the client does not attend the agreed appointment without rescheduling in advance, the consultation is deemed to have been provided and the fee remains payable. If the client is late, we wait 15 minutes.
7. Liability
We are liable without limitation for intent and gross negligence, as well as for injury to life, body or health.
In the case of simple negligence, we are liable only for the breach of a material contractual obligation — that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the client may regularly rely. In such a case, liability is limited to the damage typically foreseeable at the time the contract was concluded, and in any event to no more than EUR 5,000 per claim.
We are not liable for decisions the client makes on the basis of the consultation, nor for their economic results.
Mandatory statutory liability remains unaffected.
8. Confidentiality
Both parties treat information they learn about the other party in the course of the consultation as confidential and do not pass it on to third parties. This continues to apply after the consultation ends. Statutory disclosure and retention obligations remain unaffected.
9. Applicable law and place of jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If both parties are merchants, the place of jurisdiction for all disputes arising from this contract is the provider's registered place of business.
